I. ENGLISH VERSION
LICENSE AGREEMENT
Last modified: November 21, 2019
Concluded between Thincast Technologies GmbH, Bahnhofplatz 7/3, 2340 Mödling,
Austria (hereafter referred to as "Thincast") and the owner of the computer on
which the Software is installed (hereafter referred to as "Licensee").
1. Thincast is the owner of all exploitation rights to the Software.
2. Upon installation of the Software, Thincast grants the Licensee a
non-exclusive permission to use the Software to the extent agreed.
No other rights are granted to the Licensee.
The Licensee is not entitled to the source code of the Software.
3. Any editing, transfer, sublicensing, leasing, provision or other
transmission to third parties is forbidden. The Licensee is authorized
solely to create one copy of the Software for backup purposes.
4. Furthermore, the Software may only be installed and used according to the
specifications and documentation of said Software.
5. The Software may contain open-source components that are described in the
supplied documentation as required, but are not part of this license
agreement.
6. Should a third party assert claims against the Licensee because of the
Software, the Licensee undertakes to inform Thincast immediately and to
provide all information.
7. The Licensee is not allowed to make any alterations of trademarks,
service marks, names, serial numbers, logos and other features used to
identify the Software and used in the Software.
Furthermore, it is forbidden to modify the title, copyright notices and
other signs in the Software.
8. In order to prevent license violations, upon installation of the Software,
a hardware- and/or system binding is performed on the device where the
license gets installed.
A transfer is only permitted with the authorization of Thincast.
9. The liability of Thincast is excluded unless any damage was the result of
willful intent or gross negligence. This is not applicable to damage to
the life or health of a person.
10. Thincast provides no guarantee with regard to a specific functionality or
scope of the Software or that a specific result can be achieved with the
Software.
11. Liability for loss of data is excluded.
12. The License Agreement is limited to the duration of the contractual use of
the Software by the Licensee. Should the Licensee fail to fulfill an
obligation under the present License Agreement, the present License
Agreement shall be dissolved immediately.
13. In the event of contract dissolution, the Licensee undertakes to uninstall
the Software permanently.
14. Thincast has the right to regularly check the License status of the
Software online. If this is not possible, or if the Software is not
licensed or no longer properly licensed, Thincast has the right to
deactivate the software until the License has been successfully verfified.
15. Thincast has the right to verify the proper use of the License
on-site ("Audit"). Thincast has to state grounds therefore and give at
least 14 days notice in advance. If this Audit results in the discovery of
a violation of the License, the licensee is obliged to bear the costs of
the audit.
16. The only court of jurisdiction for legal disputes arising from or in
connection with the present agreement is agreed by the parties to be the
First District of Vienna.
17. This agreement and any resulting claims shall be subject solely to Austrian
law, with the exclusion of the United Nations Convention on Contracts for
the International Sale of Goods (CISG).
18. Modifications and/or amendments to this agreement must be made in writing
in order to be legally effective; any deviation from this provision also
requires the written form. An advanced electronic signature does not
satisfy the written form requirement for the purposes of this agreement.
19. Should individual clauses in this agreement be or become void,
unenforceable and/or invalid, this will in no way lead to the entire
agreement being void, unenforceable and/or invalid.
In this case, both parties undertake to agree on an effective clause
instead of the void, unenforceable and/other invalid provisions which
comes closest to the economic purpose of the void, unenforceable and/other
invalid regulation.
20. In case of doubt, should the agreement exist in several languages, the
German version shall take precedence.

II. GERMAN VERSION
LIZENZVEREINBARUNG

Abgeschlossen zwischen der Thincast Technologies GmbH, Bahnhofplatz 7/3,
2340 Mödling, Österreich (im Folgenden kurz: "Thincast")
und dem Inhaber jenes Computers, auf dem die Software installiert
wird (im Folgenden kurz: "Lizenznehmer").
1. Thincast ist Inhaber sämtlicher Verwertungsrechte an der Software.
2. Mit der Installation räumt Thincast dem Lizenznehmer eine nicht exklusive
und nicht ausschließliche Werknutzungsbewilligung ein. Die Beschränkung
der Nutzung richtet sich nach dem in der Bestellung beschriebenen Ausmaß.
Weitere Rechte werden dem Lizenznehmer nicht eingeräumt.
Der Lizenznehmer hat keinen Anspruch auf einen Quellcode.
3. Die Bearbeitung, Weitergabe, Unterlizenzierung, Vermietung,
Zurverfügungstellung oder sonstige Weitergabe an Dritte ist nicht zulässig.
Der Lizenznehmer ist ausschließlich zu Sicherungszwecken berechtigt, eine
Kopie der Software zu erstellen.
4. Die Software darf ferner nur in der Art installiert und verwendet werden,
wie dies aus den Spezifikationen und der Dokumentation der Software
hervorgeht.
5. Die Software kann Open Source-Komponenten beinhalten, die bei Bedarf in
der mitgelieferten Dokumentation beschrieben werden, welche jedoch nicht
Bestandteil dieser Lizenzvereinbarung sind.
6. Sollte ein Dritter Ansprüche aufgrund der Software gegenüber dem
Lizenznehmer erklären, verpflichtet sich der Lizenznehmer Thincast
unverzüglich zu informieren und sämtliche Informationen zur Verfügung zu
stellen.
7. Dem Lizenznehmer ist es untersagt, Änderungen an Markenzeichen,
Dienstleistungsmarken, Namen, Seriennummern, Logos und an anderen, der
Identifikation der Software dienenden Merkmalen, welche in der Software
verwendet werden, durchzuführen. Ferner darf der Titel, die
Urheberrechtsvermerke und andere Kennzeichen an der Software nicht
geändert werden.
8. Bei der Einspielung der Software findet, um eine lizenzwidrige Nutzung zu
verhindern, eine System- und/oder Hardwarebindung an das Gerät, auf dem
die Lizenz eingespielt wird, statt.
Eine Übertragung ist nur mit Zustimmung von Thincast zulässig.
9. Die Haftung von Thincast ist ausgeschlossen, es sei denn, der Schaden
wurde vorsätzlich oder grob fahrlässig herbeigeführt. Dies gilt nicht bei
Verletzungen des Lebens oder der Gesundheit einer Person.
10. Thincast leistet keine Gewähr für einen bestimmten Funktions- oder
Leistungsumfang der Software oder dass ein bestimmter Erfolg mit der
Software erzielt werden kann.
11. Die Haftung für Datenverlust ist ausgeschlossen.
12. Der Lizenzvertrag ist für die Dauer der vertragsgemäßen Nutzung der
Software durch den Lizenznehmer befristet. Sollte der Lizenznehmer
gegen eine Verpflichtung aus diesem Lizenzvertrag verstoßen, tritt die
sofortige Auflösung dieses Lizenzvertrags ein.
13. Für den Fall der Vertragsauflösung ist der Lizenznehmer verpflichtet,
die Software dauerhaft zu deinstallieren.
14. Thincast hat das Recht, regelmäßig den Lizenzstatus der Software online
abzufragen. Sollte dies nicht möglich sein oder sollte die Software nicht
oder nicht mehr ordnungsgemäß lizenziert sein, hat Thincast das Recht,
die Software bis zur positiven Lizenzüberprüfung zu deaktivieren.
15. Thincast hat das Recht, bei begründetem Verdachtsmoment unter Angabe von
Gründen und nach einer Vorankündigung von mindestens 14 Tagen vor Ort die
Nutzung der Lizenz zu überprüfen ("Audit"). Sollte dieses Audit eine
unrichtige Lizenzierung ergeben, ist der Lizenznehmer verpflichtet, die
Kosten des Audits zu tragen.
16. Als ausschließlicher Gerichtsstand aus oder im Zusammenhang mit diesem
Vertrag wird das sachlich zuständige Gericht in Wien-Innere Stadt
vereinbart.
17. Auf den Vertrag und die daraus resultierenden Ansprüche kommt
ausschließlich österreichisches Recht, unter Ausschluss des UN-Kaufrechts
zur Anwendung.
18. Änderungen und/oder Ergänzungen dieses Vertrages bedürfen, um rechtswirksam
zu sein, der Schriftform; die Schriftform ist auch für das Abgehen von
diesem Formerfordernis notwendig. Die Sichere Elektronische Signatur
erfüllt für Zwecke dieses Vertrages nicht das Schriftformerfordernis.
19. Sollten einzelne Bestimmungen dieses Vertrages nichtig, undurchsetzbar
und/oder ungültig sein oder werden, so hat dies nicht die Nichtigkeit,
Undurchsetzbarkeit und/oder Ungültigkeit des gesamten Vertrages zur Folge.
Die Parteien verpflichten sich für diesen Fall, anstelle der nichtigen,
undurchsetzbaren und/oder ungültigen Bestimmungen eine Regelung zu
vereinbaren, die dem mit der nichtigen, undurchsetzbaren und/oder
ungültigen Regelung verfolgten Zweck wirtschaftlich am nächsten kommt.
20. Sollte der Vertrag mehrsprachig vorliegen, gilt im Zweifel die jeweils
deutsche Fassung.
